Client Terms & Usage Policy

1. Acceptance of Terms

By booking services, submitting payment, signing any agreement or release, accessing an online gallery, downloading images, or receiving deliverables from Idaho Photography Studios (“Studio”), the client (“Client”) agrees to be bound by this Client Terms & Usage Policy.

These terms apply to all photography services, including but not limited to portrait, headshot, senior, family, event, commercial, industrial, manufacturing, branding, and advertising photography.

No services are provided outside of these terms.

2. Copyright Ownership & Intellectual Property

All photographs, previews, proofs, edited images, digital files, and final deliverables are the exclusive copyrighted intellectual property of Idaho Photography Studios.

Nothing in this agreement constitutes a “work made for hire.”
Copyright ownership never transfers unless explicitly stated in a separate, written copyright transfer agreement signed by the Studio.

3. Licensing & Usage (If and When Granted)

Any usage rights granted to the Client are provided as a limited, non-exclusive, non-transferable, revocable license.

Licenses are:

  • Scope-specific
  • Usage-specific
  • Medium-specific
  • Time-limited where applicable

No license includes paid advertising, promotional use, resale, sublicensing, or third-party distribution unless explicitly stated in writing.

Licenses are valid only after full payment has cleared.

4. Fees, Payments & Non-Refundability

  • Session fees, retainers, and deposits secure time, planning, and preparation and are non-refundable.
  • Custom photography and editing constitute custom services and are not subject to refund.
  • Payment plans do not delay licensing eligibility.
  • No rights or licenses are granted until payment is paid in full and cleared.

Failure to complete payment constitutes a material breach of contract.

5. Chargebacks, Non-Payment & Payment Disputes

In the event of:

  • A chargeback
  • A payment reversal
  • A failed or declined installment
  • Any form of non-payment

The following occurs automatically and without notice:

  1. All licenses are immediately revoked
  2. All usage rights are terminated
  3. Any continued use becomes unauthorized
  4. The Client is in material breach

Chargebacks do not void contractual obligations.

The Studio reserves the right to:

  • Issue retroactive licensing invoices
  • Demand immediate cessation and removal of imagery
  • Pursue recovery of fees, costs, and damages
  • Suspend gallery access and future services

5.1 Services Rendered & Digital Delivery Acknowledgment

The Client acknowledges and agrees that all services provided by Idaho Photography Studios constitute custom professional services and digital deliverables produced to order.

Once photography services have been performed and/or digital deliverables have been made available through online galleries, digital download, or other electronic delivery, such services and deliverables are considered rendered and delivered in full.

The Client further acknowledges that:

  • Custom digital services and digital deliverables cannot be returned
  • Access to or delivery of digital content constitutes acceptance
  • Refunds are not available once services are rendered or digital content is accessed

These acknowledgments apply regardless of subsequent payment disputes, chargebacks, or claims initiated through a financial institution.

6. Usage Restrictions & Prohibited Use

Clients may not:

  • Use images beyond licensed scope
  • Alter, crop, or manipulate images in a way that misrepresents the work
  • Transfer images to third parties
  • Use images for advertising, promotion, resale, or commercial purposes without a license

Unauthorized use constitutes copyright infringement under U.S. law.

7. Automatic Rights Termination & Revocation

Any of the following result in immediate and automatic termination of all rights:

  • Non-payment
  • Chargebacks or reversals
  • License misuse
  • Contractual breach
  • Violation of usage terms

Upon termination:

  • All rights immediately revert to Idaho Photography Studios
  • Continued use is unlawful
  • The Client must cease use and remove imagery upon notice

No refunds are issued as a result of termination.

8. Galleries, Access & Security

  • Online galleries are provided for viewing, selection, and delivery convenience.
  • Galleries may be password-protected and time-limited.
  • The Studio is not responsible for unauthorized access resulting from Client sharing.
  • Gallery access may be suspended for non-payment, misuse, or breach.

9. File Retention, Archiving & Re-Delivery

  • Long-term archival storage is not guaranteed.
  • The Studio is not obligated to retain files indefinitely.
  • Re-delivery of archived images may incur fees.
  • Clients are responsible for backing up purchased images.

10. Studio Discretion & Brand Protection

The Studio reserves the right to:

  • Decline projects that conflict with brand standards
  • Refuse improper usage requests
  • Enforce licensing retroactively
  • Update this policy as needed

No verbal statements override this policy.

11. Governing Law & Jurisdiction

This agreement is governed by the laws of the State of Idaho.
Any disputes shall be resolved in the appropriate Idaho courts.

12. Severability

If any provision of this policy is deemed unenforceable, all remaining provisions remain in full force and effect.
